KRAYA TERMS AND CONDITIONS

1.1 “Buyer”: Any User who uses the Platform to search for, request, purchase, or procure goods or services from Vendors.

1.2 “Vendor”: Any User who lists, markets, offers, sells, or delivers goods or services via the Platform.

1.3 “User Content”: All information, data, text, graphics, listings, reviews, messages, or other materials submitted or made available by Users.

1.4 “Services”: The Platform features, functionalities, and any auxiliary services provided by Kraya.

2.1 Platform Role: Kraya is a technology service provider and intermediary that enables Buyers and Vendors to connect and transact. We do not provide, sell, or fulfill any goods or services offered by Vendors.

2.2 No Agency: Nothing herein establishes any agency, partnership, joint venture, or employment relationship between Kraya and any User.

2.3 Safe Harbour: Kraya disclaims liability under Section 79 of the IT Act. Our obligations are limited to those under the IT Act and related rules.

3.1 Eligibility: You must be at least 18 years old and legally able to enter binding contracts.

3.2 Registration: You must create an account and keep your information accurate and updated.

3.3 KYC & Licensing: Vendors must complete KYC and comply with licensing and regulatory obligations.

4.1 Platform License: Kraya grants a limited, nonexclusive license to use the Platform.

4.2 User Content License: You retain ownership but grant Kraya a license to use your content to operate and promote the Platform.

4.3 Platform IP: All intellectual property remains with Kraya. No unauthorized copying or reverse engineering allowed.

6.1 Independent Contractors: Vendors are independent. Kraya is not liable for their actions or goods.

6.2 No Warranty: Vendors are responsible for the accuracy and legality of their listings.

6.3 Buyer–Vendor Contracts: Kraya is not a party to contracts formed through the Platform.

7.1 Fees: Non-refundable registration, listing, or service fees may apply.

7.2 Payment: Handled by third-party processors. Kraya does not hold funds unless required.

7.3 Taxes: Users are responsible for applicable taxes.

8.1 Integration: Use of third-party tools is subject to their terms.

8.2 External Links: Kraya is not responsible for linked content or services.

11.1 Buyer: Buyers indemnify Kraya for breach, misuse, or contract disputes.

11.2 Vendor: Vendors indemnify Kraya for fraud, breach, or failure to deliver.

14.1 Buyer–Vendor Disputes: Must be resolved directly between parties.

14.2 Arbitration: Unresolved issues may go to arbitration in Nagpur after 30 days of good-faith negotiations.

15.1 Grievance: Contact us at legal@kraya.io.

15.2 Takedown: Kraya will act on infringing content notices within 36 hours.

15.3 Counter Notice: Users can request reinstatement unless restricted by law.

17.1 Term: These T&C remain in effect until terminated.

17.2 Suspension: Kraya may suspend or restrict access for violations of these T&C or for maintenance or security reasons.

17.3 Termination: Either party may terminate by providing notice. Upon termination, your license to use the Platform ends, but Sections 4, 7, 9, 10, 11, 14, 16 (survival), 17, and 18 survive.

18.1 Amendments: Kraya may update these T&C by posting revised terms at least 30 days before effect. Continued use after the effective date constitutes acceptance.

18.2 Assignment: Users may not assign rights or obligations without Kraya’s prior written consent. Kraya may assign or transfer these T&C in connection with a merger or sale of assets.

19.1 Severability: If any provision is held invalid, the remainder stay in full force.

19.2 No Waiver: Failure to enforce any right is not a waiver of that right.

19.3 Entire Agreement: These T&C, together with the Privacy Policy and any referenced policies, constitute the entire agreement.

These T&C are governed by the laws of India. All disputes not subject to arbitration will be exclusively in the courts of Nagpur.
